By accessing or using the Skillstore platform (available at https://skill.store and through our mobile applications), you agree to be bound by these Terms of Service ("Terms"), our Privacy & Cookie Notice, our Copyright ("DMCA") Policy, and all other policies referenced herein (collectively, the "Agreement").

You must be at least 18 years old to create an account and use Skillstore, whether as a creator or learner. By using our platform, you represent and warrant that you meet this age requirement.
The Platform is not intended for use by individuals under the age of 18, and we do not knowingly collect personal information from minors.
We may modify these Terms from time to time. We will notify you of material changes via email to your registered email address and/or through a notice on the Platform at least 30 days before the changes take effect. Changes for legal, security, or compliance reasons may take effect immediately.
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform.

"Platform" or "Skillstore" means the website at https://skill.store, our mobile applications, and all related services, features, content, and applications operated by SKILLSTORE LTD.
"User", "you", or "your" means any individual or entity that accesses or uses the Platform.
"Creator" means a User who uploads, publishes, or distributes educational content or services on the Platform for others to access, whether for free or for payment. Creators are the educators who share their expertise on Skillstore.
"Skill Builder" means a User who accesses, views, or purchases educational content or services created by Creators on the Platform for the purpose of building skills and practical knowledge.
"Content" means any text, graphics, images, music, software, audio, video, information, or other materials uploaded, posted, transmitted, or otherwise made available through the Platform.
"User Content" means all Content that Users (including Creators) upload, post, or otherwise make available on the Platform.
"Skillstore Content" means all Content owned or licensed by Skillstore, including but not limited to the Platform's design, features, functionality, text, graphics, logos, button icons, images, audio clips, data compilations, and software.
"Skill Video" means short-form educational video content created and uploaded by Creators.
"Account" means the registered user account you create to access certain features of the Platform.
"Marketplace" means the curated section of the Platform where approved Creators' content is featured for discovery by Skill Builders.
Note on Terminology: Throughout these Terms, we use "Creator" and "Skill Builder" to reflect Skillstore's mission and values. However, for legal clarity and consistency with industry standards, these terms may also be referred to as "seller/instructor" and "learner/buyer/student" respectively. All such terms have equivalent legal meaning in these Terms.
To access certain features of the Platform, including creating and uploading content as a Creator or purchasing content as a Skill Builder, you must register for an Account.
When registering, you must provide:

Skillstore will not be liable for any loss or damage arising from your failure to maintain Account security.
By You: You may delete your Account at any time through your account settings. Upon deletion:
By Skillstore: We may suspend or terminate your Account if you violate these Terms, engage in fraudulent activity, or for other legitimate reasons as specified in Section 15. We will provide notice and an opportunity to appeal except in cases of severe violations or legal requirements.
Free Skill Builder Accounts: If you do not log in to your free learner Account for 12 consecutive months, we may delete your Account after sending a warning email to your registered email address.
Free Creator Accounts: If you do not log in to your free creator Account for 12 consecutive months, we may delete your Account after sending a warning email 30 days in advance to allow you to preserve your Content.
Paid Accounts: Paid subscriptions remain active as long as your subscription is current and in good standing.
Subject to your compliance with these Terms, Skillstore grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal or internal business purposes.

You retain ownership of all intellectual property rights in your User Content. Skillstore does not claim ownership of any Content you upload, post, or otherwise make available on the Platform.
You are solely responsible for your User Content and the consequences of posting or publishing it.
By uploading User Content to the Platform, you grant Skillstore a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Platform and Skillstore's business, including for the purposes of:

Attribution: We will credit creators when practical and feasible in marketing materials.
Opt-Out: Creators may opt out of having their Content used in marketing materials by contacting us at [email protected] or through account settings (when available). Your opt-out request will be processed within a reasonable timeframe, but previously published marketing materials may continue to circulate.
Third-Party Distribution: We will obtain separate written permission from you before redistributing your Content to third parties for commercial arrangements involving revenue sharing or other valuable consideration beyond platform promotion.
The license you grant to Skillstore continues for the following durations:
During Active Account: The full license remains in effect while your Account is active.
After Account Deletion:
(a) Previously Purchased Content: For Content purchased by Skill Builders before your Account deletion, our license continues solely to enable those specific purchasers to access the Content they paid for lifetime access to. We will not use this Content for marketing purposes after your Account deletion.
(b) Recent Purchase Refunds: For purchases made within 60 days before your Account deletion, you must either (i) issue full refunds through Stripe Connect or PayPal, or (ii) allow the Content to remain available for the lifetime access period purchased by those Skill Builders.
(c) Technical Grace Period: We may retain copies of your Content for up to 90 days after Account deletion for technical processing, backup purging, and legal compliance purposes.
(d) Aggregate and Anonymized Data: Our right to use aggregate, anonymized, and de-identified data derived from your Content survives indefinitely.
By uploading User Content, you represent and warrant that:
All Skillstore Content and the Platform itself, including but not limited to software, technology, design, layout, graphics, logos, trademarks, and look and feel, are owned by or licensed to Skillstore and are protected by intellectual property laws.
You may not:
Skillstore respects the intellectual property rights of others and expects Users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and similar laws worldwide.

No Pre-Screening Obligation:
We do not pre-screen User Content before it is posted to the Platform. We are not responsible for User Content and do not endorse any opinions, recommendations, or advice expressed in User Content.
Community Reporting:
Users may report Content that violates these Terms through our reporting system. We will review reported Content and take appropriate action, which may include removing the Content, issuing warnings, or suspending or terminating Accounts.
This section applies specifically to Users who create and upload educational content to the Platform.
Standalone Profiles: All Creators may create a standalone Skillstore profile and publish Content without pre-approval. This Content is accessible to Users who discover your profile directly.
Marketplace Listing: To have your Content featured in the Skillstore Marketplace for broader discovery:
(a) Initial Approval: Submit your Content for review. We assess Content for quality, educational value, and compliance with these Terms and our Content Standards.
(b) Ongoing Content: Once marketplace-approved, you may upload additional Content that will be published immediately, subject to:
(c) Revocation: We may revoke marketplace approval at any time for violations of these Terms, quality standards, or our content policies.

Payment Methods: You must connect a Stripe Connect or PayPal account to receive payments. You are responsible for:
Skillstore's Role: Skillstore facilitates payment processing through your connected account. We are the payment collection agent for the limited purpose of accepting funds from Skill Builders on your behalf.

Transaction Fees for Creators: Skillstore charges a 10% platform fee on all paid transactions, including:

Payment Processing Fees: In addition to the platform fee, you are responsible for payment processing fees charged by Stripe or PayPal. These fees are separate from and in addition to Skillstore's platform fee.
Billing:
Auto-Renewal: Your subscription automatically renews at the end of each billing cycle unless you cancel before the renewal date.
Cancellation: You may cancel your Pro subscription at any time through your account settings or by contacting [email protected]. Upon cancellation:
Platform Fee Changes: We may change our platform fee percentage with 30 days' advance notice via email to your registered email address.
Subscription Price Changes: We may change Pro subscription pricing with 30 days' advance notice. Price changes take effect at your next billing cycle. You may cancel your subscription before the price change takes effect if you do not agree to the new pricing.
Creator Subscriptions: We offer a no-questions-asked refund within 30 days of first signing up for a paid Pro subscription. Contact [email protected] within 30 days of sign-up to request a refund. After 30 days, all payments are non-refundable.
Skill Builder Purchases: Refund policies for skill videos, personalized videos, and calls are set by individual Creators and communicated at the time of purchase. Creators using Stripe Connect or PayPal are responsible for processing refunds through their payment processor.
Platform Policy: We reserve the right to issue refunds in cases of fraud, technical errors, or other exceptional circumstances in our sole discretion.
Payout Schedule: Earnings from paid transactions are processed through your connected Stripe or PayPal account according to that processor's payout schedule, typically:
Upon Account Deletion:
When you delete your Creator Account, the following payout rules apply:
(a) Earned Revenue: All earned revenue that has been processed will be paid out on your payment processor's next regular payment cycle.
(b) Pending Transactions: Transactions being processed at the time of Account deletion will be paid out once they clear (typically 2-7 days).
(c) Chargebacks and Disputes: Amounts subject to active chargebacks or disputes will be held until resolved. You remain responsible for chargebacks even after Account deletion.
(d) Recent Purchase Refunds: For purchases made within 60 days before Account deletion, you must either:
(e) Negative Balance: If your Account has a negative balance (due to refunds, chargebacks, or fees), you must pay the outstanding amount to Skillstore before your Account can be fully closed.
Minimum Payout: Some payment processors may have minimum payout thresholds. Consult your payment processor's terms for details.
Prices Exclude Taxes: All prices listed on Skillstore exclude taxes unless explicitly stated otherwise.
Tax Collection: Where required by law, Skillstore may collect and remit Value Added Tax (VAT), Goods and Services Tax (GST), sales tax, or other consumption taxes as a marketplace facilitator.
Your Tax Obligations: You are responsible for determining and paying all applicable taxes on:
Tax Information Requests: We may request tax information from you, including VAT registration numbers, tax identification numbers, or other documentation to comply with our tax obligations. You agree to provide accurate and timely tax information when requested.
If you believe you have been incorrectly charged, contact [email protected] within 60 days of the charge with details of the disputed transaction. We will investigate and respond within a reasonable timeframe.

30-Day Period: If the dispute is not resolved within 30 days of your initial notice to us, either party may proceed with formal dispute resolution as described below.
Subject to Section 13.4, any legal action or proceeding arising out of or related to these Terms or the Platform shall be brought exclusively in the courts of England and Wales.

Skillstore reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time, including:

These Terms, together with our Privacy & Cookie Notice, Copyright ("DMCA") Policy, Partner Program Agreement, Accessibility Policy, Data Processing Agreement, and any other policies or agreements referenced herein, constitute the entire agreement between you and Skillstore regarding your use of the Platform.
These Terms supersede all prior or contemporaneous agreements, communications, and proposals (whether oral, written, or electronic) between you and Skillstore regarding the subject matter herein.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
The invalid, illegal, or unenforceable provision shall be replaced with a valid, legal, and enforceable provision that most closely matches the intent of the original provision.
Skillstore's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
No waiver of any breach or default under these Terms shall be deemed a waiver of any subsequent breach or default.
Any waiver must be in writing and signed by an authorized representative of Skillstore to be effective.
Skillstore's Rights: Skillstore may assign, transfer, or delegate these Terms or any rights or obligations hereunder without your consent, including:
Your Restrictions: You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without Skillstore's prior written consent. Any attempted assignment in violation of this provision is void.
You and Skillstore are independent contractors. These Terms do not create:

Creator Independence: Creators are not employees, contractors, or agents of Skillstore. Creators operate independently and are solely responsible for their business operations, tax obligations, and relationships with their Skill Builders.
These Terms are for the sole benefit of you and Skillstore. No third party has any right to enforce or rely upon any provision of these Terms, except as expressly stated herein (e.g., Skillstore's indemnified parties in Section 12).
