1. INTRODUCTION AND ACCEPTANCE

Welcome to Skillstore! Thank you for choosing our platform to share and learn skills through short-form educational videos.

Skillstore is operated by SKILLSTORE LTD (Company Number: 16495005), a company registered in England and Wales with its registered office at 4th Floor 205 Regent Street, London, England, W1B 4HB.

1.1 Agreement to Terms

By accessing or using the Skillstore platform (available at https://skill.store and through our mobile applications), you agree to be bound by these Terms of Service ("Terms"), our Privacy & Cookie Notice, our Copyright ("DMCA") Policy, and all other policies referenced herein (collectively, the "Agreement").

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.

1.2 Age Requirements

You must be at least 18 years old to create an account and use Skillstore, whether as a creator or learner. By using our platform, you represent and warrant that you meet this age requirement.

The Platform is not intended for use by individuals under the age of 18, and we do not knowingly collect personal information from minors.

1.3 Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes via email to your registered email address and/or through a notice on the Platform at least 30 days before the changes take effect. Changes for legal, security, or compliance reasons may take effect immediately.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform.

2. DEFINITIONS

For purposes of these Terms, the following definitions apply:

"Platform" or "Skillstore" means the website at https://skill.store, our mobile applications, and all related services, features, content, and applications operated by SKILLSTORE LTD.

"User", "you", or "your" means any individual or entity that accesses or uses the Platform.

"Creator" means a User who uploads, publishes, or distributes educational content or services on the Platform for others to access, whether for free or for payment. Creators are the educators who share their expertise on Skillstore.

"Skill Builder" means a User who accesses, views, or purchases educational content or services created by Creators on the Platform for the purpose of building skills and practical knowledge.

"Content" means any text, graphics, images, music, software, audio, video, information, or other materials uploaded, posted, transmitted, or otherwise made available through the Platform.

"User Content" means all Content that Users (including Creators) upload, post, or otherwise make available on the Platform.

"Skillstore Content" means all Content owned or licensed by Skillstore, including but not limited to the Platform's design, features, functionality, text, graphics, logos, button icons, images, audio clips, data compilations, and software.

"Skill Video" means short-form educational video content created and uploaded by Creators.

"Account" means the registered user account you create to access certain features of the Platform.

"Marketplace" means the curated section of the Platform where approved Creators' content is featured for discovery by Skill Builders.

Note on Terminology: Throughout these Terms, we use "Creator" and "Skill Builder" to reflect Skillstore's mission and values. However, for legal clarity and consistency with industry standards, these terms may also be referred to as "seller/instructor" and "learner/buyer/student" respectively. All such terms have equivalent legal meaning in these Terms.


3. ACCOUNT TERMS

3.1 Account Creation

To access certain features of the Platform, including creating and uploading content as a Creator or purchasing content as a Skill Builder, you must register for an Account.

When registering, you must provide:

  • Accurate and complete information
  • A valid email address
  • Secure password
  • Any other information we reasonably request

You agree to keep your Account information current and accurate at all times.

3.2 Account Types

Free Accounts:

  • Creator (Free Tier): Create a Skillstore profile, upload content, and monetize your audience with basic features
  • Skill Builder: Browse, watch, and purchase content or services from Creators (including skill videos, personalized videos, and 1:1 calls)

Pro Creator Accounts:

  • Paid monthly or annual subscription providing extended features, allowances, and capabilities for Creators

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password and Account credentials
  • All activities that occur under your Account
  • Notifying us immediately at [email protected] of any unauthorized access or security breach

Skillstore will not be liable for any loss or damage arising from your failure to maintain Account security.

3.4 Account Restrictions

  • You may not share your Account with others
  • You may not create multiple Accounts to circumvent restrictions or policies
  • You may not use another person's Account without permission
  • You may not transfer or sell your Account to another person or entity

3.5 Account Termination

By You: You may delete your Account at any time through your account settings. Upon deletion:

  • Your access to the Platform will cease
  • Your User Content will be removed from the Platform (except as provided in Section 5.4)
  • Any earned but unpaid revenue will be paid out according to Section 7.6
  • Free content you uploaded will be deleted
  • Purchased content will remain available to customers who paid for lifetime access

By Skillstore: We may suspend or terminate your Account if you violate these Terms, engage in fraudulent activity, or for other legitimate reasons as specified in Section 15. We will provide notice and an opportunity to appeal except in cases of severe violations or legal requirements.

3.6 Inactive Accounts

Free Skill Builder Accounts: If you do not log in to your free learner Account for 12 consecutive months, we may delete your Account after sending a warning email to your registered email address.

Free Creator Accounts: If you do not log in to your free creator Account for 12 consecutive months, we may delete your Account after sending a warning email 30 days in advance to allow you to preserve your Content.

Paid Accounts: Paid subscriptions remain active as long as your subscription is current and in good standing.


4. PLATFORM USE RIGHTS

4.1 License to Use Platform

Subject to your compliance with these Terms, Skillstore grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal or internal business purposes.

4.2 Permitted Uses

You may use the Platform to:

  • Create and share educational content (as a Creator)
  • Learn from available content (as a Skill Builder)
  • Engage with Creators and other Skill Builders through permitted features
  • Build relationships with your audience (as a Creator)
  • Access analytics and data as permitted by your Account type
  • Purchase and access skill videos for your personal educational use
  • Unlock content with your email address where offered
  • Request personalized videos or book calls with Creators where available

4.3 Prohibited Uses

You may not:

Content Violations:

  • Upload, post, or transmit any Content that infringes copyright, trademark, patent, trade secret, or other intellectual property rights
  • Upload Content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, or otherwise objectionable
  • Upload Content that violates any applicable law or regulation
  • Upload Content that is not educational in nature (for Creator Accounts)

Platform Misuse:

  • Use the Platform for any illegal purpose or in violation of any laws
  • Spam, harass, abuse, threaten, or impersonate any person or entity
  • Collect, harvest, or scrape data from the Platform using automated means (bots, scrapers, etc.)
  • Attempt to gain unauthorized access to the Platform, other Accounts, or our systems
  • Interfere with or disrupt the Platform's operation or servers
  • Circumvent any technological measures we use to protect the Platform

Commercial Misuse:

  • Use the Platform for unauthorized commercial purposes outside of the monetization features we provide
  • Resell, redistribute, or sublicense access to the Platform
  • Create derivative works of the Platform itself

False Information:

  • Provide false, inaccurate, or misleading information when creating your Account or uploading Content
  • Misrepresent your credentials, qualifications, or expertise

4.4 Consequences of Violations

Violations of these Terms may result in:

  • Warning notices
  • Content removal
  • Temporary Account suspension
  • Permanent Account termination
  • Legal action where appropriate

We reserve the right to take any of these actions in our sole discretion without prior notice.


5. CONTENT AND INTELLECTUAL PROPERTY

5.1 User Content Ownership

You retain ownership of all intellectual property rights in your User Content. Skillstore does not claim ownership of any Content you upload, post, or otherwise make available on the Platform.

You are solely responsible for your User Content and the consequences of posting or publishing it.

5.2 License Grant to Skillstore

By uploading User Content to the Platform, you grant Skillstore a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Platform and Skillstore's business, including for the purposes of:

Operational Uses:

  • Displaying your Content to other Users on the Platform
  • Storing and hosting your Content on our servers and content delivery networks
  • Transcoding, reformatting, and processing your Content for different devices, formats, and resolutions
  • Generating thumbnails, previews, and clips of your Content
  • Creating transcriptions and captions for accessibility
  • Enabling download, streaming, and other access methods
  • Backing up and archiving your Content for platform stability and disaster recovery
  • Analyzing your Content for recommendations, search, and platform improvement

Marketing and Promotional Uses:

  • Using still frames and short clips from your Content in marketing materials
  • Featuring your Content on the Skillstore website and landing pages
  • Promoting your Content on our social media channels (Instagram, Twitter, Facebook, TikTok, etc.)
  • Including your Content in email campaigns to users and prospects
  • Using your Content in advertisements for the Platform
  • Creating promotional compilations and "best of" showcases featuring multiple creators
  • Remixing and combining creator videos into platform promotional materials

Derivative Works:

  • Creating shortened clips, trailers, and previews
  • Generating alternative formats and versions for different platforms and devices
  • Creating promotional materials combining multiple pieces of creator Content
  • Developing compilations and curated collections

5.3 Marketing Rights Boundaries

Attribution: We will credit creators when practical and feasible in marketing materials.

Opt-Out: Creators may opt out of having their Content used in marketing materials by contacting us at [email protected] or through account settings (when available). Your opt-out request will be processed within a reasonable timeframe, but previously published marketing materials may continue to circulate.

Third-Party Distribution: We will obtain separate written permission from you before redistributing your Content to third parties for commercial arrangements involving revenue sharing or other valuable consideration beyond platform promotion.

5.4 License Duration

The license you grant to Skillstore continues for the following durations:

During Active Account: The full license remains in effect while your Account is active.

After Account Deletion:

(a) Previously Purchased Content: For Content purchased by Skill Builders before your Account deletion, our license continues solely to enable those specific purchasers to access the Content they paid for lifetime access to. We will not use this Content for marketing purposes after your Account deletion.

(b) Recent Purchase Refunds: For purchases made within 60 days before your Account deletion, you must either (i) issue full refunds through Stripe Connect or PayPal, or (ii) allow the Content to remain available for the lifetime access period purchased by those Skill Builders.

(c) Technical Grace Period: We may retain copies of your Content for up to 90 days after Account deletion for technical processing, backup purging, and legal compliance purposes.

(d) Aggregate and Anonymized Data: Our right to use aggregate, anonymized, and de-identified data derived from your Content survives indefinitely.

5.5 User Warranties and Representations

By uploading User Content, you represent and warrant that:

  • You own all intellectual property rights in your User Content, or have obtained all necessary licenses, permissions, and consents from third parties who own rights in the Content
  • Your User Content does not and will not infringe, misappropriate, or violate any intellectual property rights, privacy rights, publicity rights, or other rights of any third party
  • Your User Content complies with these Terms and all applicable laws
  • You have the legal right and authority to grant the licenses described in these Terms
  • Any credentials, qualifications, or expertise you claim in your User Content are accurate and truthful

5.6 Skillstore Intellectual Property

All Skillstore Content and the Platform itself, including but not limited to software, technology, design, layout, graphics, logos, trademarks, and look and feel, are owned by or licensed to Skillstore and are protected by intellectual property laws.

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Platform or Skillstore Content
  • Reverse engineer, decompile, or attempt to extract source code from the Platform
  • Use Skillstore's trademarks, logos, or brand elements without our prior written permission
  • Frame or mirror any part of the Platform without our prior written authorization
  • Create derivative works based on the Platform or Skillstore Content

Skillstore respects the intellectual property rights of others and expects Users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and similar laws worldwide.

Reporting Copyright Infringement:

If you believe your copyright has been infringed, please send a notice to our designated copyright agent at [email protected] with the following information:

  1. Identification of the copyrighted work claimed to have been infringed
  2. Identification of the allegedly infringing material on the Platform
  3. Your contact information (name, address, telephone number, email address)
  4. A statement that you have a good faith belief that the use is not authorized
  5. A statement that the information in your notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner
  6. Your physical or electronic signature

Counter-Notice Procedure:

If your Content was removed due to a copyright claim and you believe the removal was wrongful, you may send a counter-notice to [email protected] containing:

  1. Identification of the material that was removed and its location before removal
  2. A statement under penalty of perjury that you have a good faith belief the material was removed due to mistake or misidentification
  3. Your name, address, telephone number, and email address
  4. A statement that you consent to the jurisdiction of the courts of England and Wales
  5. Your physical or electronic signature

Repeat Infringer Policy:

Users who receive three (3) copyright strikes will have their Accounts permanently terminated. A strike is issued when:

  • We receive a valid DMCA takedown notice and remove Content
  • You do not file a valid counter-notice, or
  • Your counter-notice is rejected

We maintain records of all copyright strikes and may terminate Accounts with repeated violations without further warning.

5.8 Content Moderation

Right to Review and Remove:

Skillstore reserves the right, but has no obligation, to monitor, review, or remove any User Content at any time for any reason, including but not limited to:

  • Violations of these Terms
  • Violations of these Terms
  • Copyright or intellectual property infringement
  • Legal requirements or requests from law enforcement
  • Content that we deem harmful, inappropriate, or objectionable

No Pre-Screening Obligation:

We do not pre-screen User Content before it is posted to the Platform. We are not responsible for User Content and do not endorse any opinions, recommendations, or advice expressed in User Content.

Community Reporting:

Users may report Content that violates these Terms through our reporting system. We will review reported Content and take appropriate action, which may include removing the Content, issuing warnings, or suspending or terminating Accounts.


6. CREATOR-SPECIFIC TERMS

This section applies specifically to Users who create and upload educational content to the Platform.

6.1 Marketplace Listing

Standalone Profiles: All Creators may create a standalone Skillstore profile and publish Content without pre-approval. This Content is accessible to Users who discover your profile directly.

Marketplace Listing: To have your Content featured in the Skillstore Marketplace for broader discovery:

(a) Initial Approval: Submit your Content for review. We assess Content for quality, educational value, and compliance with these Terms and our Content Standards.

(b) Ongoing Content: Once marketplace-approved, you may upload additional Content that will be published immediately, subject to:

  • Your certification that Content meets our standards
  • Community reporting and review
  • Our ongoing right to review, suspend, or remove Content
  • Periodic spot-check quality reviews

(c) Revocation: We may revoke marketplace approval at any time for violations of these Terms, quality standards, or our content policies.

6.2 Content Standards

All Creator Content must:

Educational Requirements:

  • Provide genuine educational value
  • Teach a skill, concept, technique, or knowledge
  • Be suitable for the stated subject matter and audience
  • Maintain reasonable production quality (adequate audio and video)

Prohibited Content:

  • Non-educational entertainment content without learning value
  • Misleading, false, or inaccurate information
  • Dangerous activities that could cause harm if replicated
  • Content that violates these Terms
  • Spam, clickbait, or manipulative content

Credential Accuracy: You must accurately represent your qualifications, credentials, and expertise. Do not claim credentials you do not possess or misrepresent your level of expertise.

6.3 Monetization Options

Creators on Skillstore can monetize their audience through several methods:

Paid Skill Videos:

  • Set your own pricing for lifetime access to your skill videos
  • Skill Builders pay once and receive permanent access to the Content
  • Platform fee: 10% of the sale price (see Section 7.2)

Email Unlock (Lead Magnet):

  • Offer Content for free in exchange for a Skill Builder's email address
  • Skill Builders provide their name and email to access Content
  • By providing their email, Skill Builders consent to receive marketing communications from you
  • No platform fee for email unlocks

Personalized Videos:

  • Set your own price for personalized video requests (similar to Cameo)
  • Create custom videos for individual purchasers
  • Platform fee: 10% of the sale price

Book a Call:

  • Set your own price for 30-minute calls with Skill Builders
  • Integrate with Cal.com or Calendly for scheduling
  • Platform fee: 10% of the booking price

6.4 Payment Processing

Payment Methods: You must connect a Stripe Connect or PayPal account to receive payments. You are responsible for:

  • Maintaining an active payment processor account
  • Paying payment processor fees (charged by Stripe or PayPal, separate from our platform fee)
  • Complying with your payment processor's terms of service
  • Handling any disputes or chargebacks through your payment processor

Skillstore's Role: Skillstore facilitates payment processing through your connected account. We are the payment collection agent for the limited purpose of accepting funds from Skill Builders on your behalf.

6.5 Audience Data Access

As a Creator on Skillstore, you have the following rights to access data about your audience:

Follower Data:

  • Access to a list of Users who follow you
  • Ability to export follower email addresses (CSV download)
  • Basic demographic information (where provided by Users and permitted by law)

Analytics:

  • Video views, engagement metrics, and watch time
  • Audience demographics and geographic distribution
  • Traffic sources and discovery methods
  • Purchase and conversion data

Communication:

  • Direct messaging capabilities with your followers (as enabled on the Platform)
  • Email communication with followers who unlocked Content with their email address

Use Restrictions: You may use audience data solely for:

  • Communicating with your audience through permitted channels
  • Understanding your audience to improve your Content
  • Marketing your own products and services

You may not:

  • Sell or rent your audience data to third parties
  • Use audience data for purposes unrelated to your Skillstore presence
  • Spam or harass your audience
  • Share audience data with third parties without consent

6.6 Creator-Skill Builder Communication

Marketing Consent: When Skill Builders unlock Content with their email address, they consent to receive marketing communications from you, including:

  • Newsletters
  • Promotional offers
  • Content updates
  • Other marketing messages

Disclosure shown to Skill Builders: "By entering your email, you agree to receive marketing emails from [Your Name] including newsletters, promotional offers, and updates. Unsubscribe at any time."

Unsubscribe Rights: You must provide a clear and easy way for Skill Builders to unsubscribe from your marketing communications and honor unsubscribe requests promptly.

Prohibited Communications:

  • Harassment, threats, or abusive messages
  • Spam or unsolicited bulk messages
  • Messages that violate these Terms
  • Communications unrelated to your Skillstore Content or offerings

6.7 Tax Responsibilities

As a Creator earning income through Skillstore:

Your Responsibilities:

  • You are solely responsible for determining and paying all applicable taxes on your earnings
  • You must provide accurate tax information when requested (VAT number, tax identification number, etc.)
  • You are responsible for maintaining tax records
  • For UK creators, you may need to register for Self Assessment
  • For US creators, you may receive Form 1099 if earnings exceed applicable thresholds

Skillstore's Role:

  • We may collect and remit VAT or other consumption taxes where required by law as a marketplace facilitator
  • We may request tax information from you to comply with reporting obligations
  • We do not provide tax advice; consult a tax professional for your specific situation

7. PAYMENTS AND FEES

7.1 Pricing

For Skill Builders:

  • Platform Access: Free to browse and watch free Content
  • Paid Content & Services: Prices set by individual Creators for their offerings (including skill videos, personalized videos, and 1:1 calls)
  • All prices displayed include applicable taxes where required

For Creators:

  • Free Tier: Create a profile, upload Content, and monetize with basic features at no cost
  • Pro Tier: Monthly or annual subscription for extended features and allowances

7.2 Platform Fees

Transaction Fees for Creators: Skillstore charges a 10% platform fee on all paid transactions, including:

  • Skill video purchases
  • Personalized video requests
  • Call bookings

No fees for:

  • Free Content
  • Email unlock lead magnets

Payment Processing Fees: In addition to the platform fee, you are responsible for payment processing fees charged by Stripe or PayPal. These fees are separate from and in addition to Skillstore's platform fee.

7.3 Subscription Terms (Pro Creator Accounts)

Billing:

  • Pro subscriptions are billed monthly or annually based on your selection
  • Billing occurs in advance at the start of each billing cycle
  • You must maintain a valid payment method on file

Auto-Renewal: Your subscription automatically renews at the end of each billing cycle unless you cancel before the renewal date.

Cancellation: You may cancel your Pro subscription at any time through your account settings or by contacting [email protected]. Upon cancellation:

  • Your subscription continues until the end of the current billing cycle
  • You will not be charged for subsequent billing cycles
  • Your Account will revert to the Free tier at the end of the paid period

7.4 Price Changes

Platform Fee Changes: We may change our platform fee percentage with 30 days' advance notice via email to your registered email address.

Subscription Price Changes: We may change Pro subscription pricing with 30 days' advance notice. Price changes take effect at your next billing cycle. You may cancel your subscription before the price change takes effect if you do not agree to the new pricing.

7.5 Refund Policy

Creator Subscriptions: We offer a no-questions-asked refund within 30 days of first signing up for a paid Pro subscription. Contact [email protected] within 30 days of sign-up to request a refund. After 30 days, all payments are non-refundable.

Skill Builder Purchases: Refund policies for skill videos, personalized videos, and calls are set by individual Creators and communicated at the time of purchase. Creators using Stripe Connect or PayPal are responsible for processing refunds through their payment processor.

Platform Policy: We reserve the right to issue refunds in cases of fraud, technical errors, or other exceptional circumstances in our sole discretion.

7.6 Creator Payouts

Payout Schedule: Earnings from paid transactions are processed through your connected Stripe or PayPal account according to that processor's payout schedule, typically:

  • Stripe Connect: 2-7 days after transaction
  • PayPal: Immediately to your PayPal balance

Upon Account Deletion:

When you delete your Creator Account, the following payout rules apply:

(a) Earned Revenue: All earned revenue that has been processed will be paid out on your payment processor's next regular payment cycle.

(b) Pending Transactions: Transactions being processed at the time of Account deletion will be paid out once they clear (typically 2-7 days).

(c) Chargebacks and Disputes: Amounts subject to active chargebacks or disputes will be held until resolved. You remain responsible for chargebacks even after Account deletion.

(d) Recent Purchase Refunds: For purchases made within 60 days before Account deletion, you must either:

  • Issue full refunds through your payment processor, with refunds deducted from your final payout, or
  • Allow Content to remain available to purchasers who paid for lifetime access

(e) Negative Balance: If your Account has a negative balance (due to refunds, chargebacks, or fees), you must pay the outstanding amount to Skillstore before your Account can be fully closed.

Minimum Payout: Some payment processors may have minimum payout thresholds. Consult your payment processor's terms for details.

7.7 Taxes

Prices Exclude Taxes: All prices listed on Skillstore exclude taxes unless explicitly stated otherwise.

Tax Collection: Where required by law, Skillstore may collect and remit Value Added Tax (VAT), Goods and Services Tax (GST), sales tax, or other consumption taxes as a marketplace facilitator.

Your Tax Obligations: You are responsible for determining and paying all applicable taxes on:

  • Creator earnings and income
  • Platform subscriptions (if applicable to your jurisdiction)
  • Purchases you make as a Skill Builder (if not collected by us)

Tax Information Requests: We may request tax information from you, including VAT registration numbers, tax identification numbers, or other documentation to comply with our tax obligations. You agree to provide accurate and timely tax information when requested.

7.8 Disputed Charges

If you believe you have been incorrectly charged, contact [email protected] within 60 days of the charge with details of the disputed transaction. We will investigate and respond within a reasonable timeframe.


8. PRIVACY AND DATA PROTECTION

Your privacy is important to us. Our Privacy & Cookie Notice, available at https://skill.store/privacy, explains:

  • What personal data we collect
  • How we use your data
  • Who we share data with
  • Your rights regarding your data
  • How we protect your data
  • Our use of cookies and tracking technologies

By using the Platform, you consent to the collection and use of your information as described in our Privacy & Cookie Notice.

8.2 Data Roles

For Creator Follower Data:

  • Creators act as data controllers for the personal data of their followers and Skill Builders
  • Skillstore acts as a data processor, processing follower data on behalf of Creators

For Platform User Data:

  • Skillstore acts as the data controller for personal data collected for platform operation and improvement

8.3 Creator Data Responsibilities

If you are a Creator collecting personal data from Skill Builders (including through email unlocks, purchases, or communications), you are responsible for:

  • Providing a clear privacy policy to your followers explaining how you use their data
  • Obtaining necessary consents for data collection and marketing communications
  • Complying with all applicable data protection laws, including GDPR, UK GDPR, CCPA, and other regulations
  • Respecting your followers' privacy rights (access, deletion, portability, etc.)

8.5 International Data Transfers

Your data may be transferred to, stored, and processed in countries outside your country of residence, including countries that may not have the same data protection laws. We use Standard Contractual Clauses (SCCs) approved by the European Commission and UK authorities to protect data transferred internationally.

8.6 Your Data Rights

Under applicable data protection laws, you have the right to:

  • Access: Request access to your personal data

  • Creators will earn any specific amount of revenue
  • Skill Builders will successfully acquire any particular skills

10.5 Right to Modify or Discontinue

  • Modify, suspend, or discontinue any feature, functionality, or service at any time
  • Remove or disable access to any Content
  • Change the Platform's design, layout, or appearance
  • Update or change technical requirements for accessing the Platform

We will make reasonable efforts to notify you of significant changes, but we are not obligated to do so and will not be liable for any modifications or discontinuations.

10.6 Beta Features

From time to time, we may offer beta, experimental, or pre-release features ("Beta Features"). Beta Features:

Your use of third-party services is governed by their respective terms of service and privacy policies.

11. LIMITATION OF LIABILITY

11.1 Exclusion of Certain Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, SKILLSTORE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

Indirect, Incidental, Special, Consequential, or Punitive Damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of business or business opportunities
  • Loss of data or information
  • Loss of goodwill or reputation
  • Business interruption
  • Cost of substitute services or products
  • Any other indirect or consequential losses

Regardless of:

  • The cause of action (contract, tort, negligence, strict liability, or otherwise)
  • Whether we were advised of the possibility of such damages
  • Whether such damages were foreseeable

11.2 Cap on Direct Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF:

(a) The total amount you paid to Skillstore in the 12 months immediately preceding the event giving rise to the claim; OR (b) £100 (one hundred pounds sterling)

Important Legal Questions for Your Attorney:

  1. Minimum Floor Adequacy: Is £100 sufficient under UK Consumer Rights Act 2015 and EU consumer protection laws, or should the minimum be higher (e.g., £250, £500)?

  2. Calculation Period: Should "last 12 months" be measured from:

    • The date the claim is filed?
    • The date of the incident giving rise to the claim?
  3. Creator Revenue Calculation: For Creators earning revenue through the Platform, should the liability cap be based on:

    • What they PAID Skillstore (subscription fees + platform fees)?
    • What they EARNED through Skillstore (gross sales revenue)?
    • Both amounts combined?
  4. B2C vs. B2B Distinction: Should there be different caps for:

    • Skill Builders (consumers)?
    • Creators (business users)?
    • Free tier vs. Pro tier Creators?
  5. Consumer Rights Compliance: Does this cap comply with:

    • UK Consumer Rights Act 2015?
    • EU consumer protection directives?
    • Distance selling regulations?

11.3 Mandatory Exceptions

The limitations in Sections 11.1 and 11.2 DO NOT APPLY to:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation by Skillstore
  • Any other liability that cannot be excluded or limited by law

These exceptions are mandatory under UK and EU law and cannot be waived.

11.4 Basis of the Bargain

You acknowledge and agree that:

  • These limitations of liability reflect a reasonable allocation of risk between you and Skillstore
  • The fees you pay (or the free nature of the Platform) reflect these limitations
  • These limitations are an essential basis of the bargain between you and Skillstore
  • These limitations will apply even if any limited remedy provided in these Terms fails of its essential purpose

11.5 Consumer Rights Preservation

For UK and EU Consumers: Nothing in these Terms limits or excludes liability for consumer rights that cannot be excluded under:

  • UK Consumer Rights Act 2015
  • EU Consumer Rights Directive
  • Distance and off-premises contracts regulations
  • Unfair contract terms regulations
  • Other mandatory consumer protection laws

If you are a consumer with non-waivable rights under applicable law, these Terms do not limit those rights.


12. INDEMNIFICATION

12.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Skillstore, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, suppliers, and licensors (collectively, the "Skillstore Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and legal costs) arising from or related to:

Your Content:

  • Any User Content you upload, post, or otherwise make available through the Platform
  • Claims that your User Content infringes or misappropriates intellectual property rights of any third party
  • Claims that your User Content violates any applicable law or third-party rights

Your Conduct:

  • Your use or misuse of the Platform
  • Your breach of these Terms or any other policy referenced herein
  • Your violation of any applicable laws, regulations, or rights of third parties
  • Your interactions with other Users, including disputes with Skill Builders or Creators

Creator-Specific:

  • Disputes with your Skill Builders regarding Content, refunds, or services
  • Claims related to your monetization activities
  • Your failure to fulfill obligations to purchasers of your Content
  • Your use of follower data or marketing communications
  • Fraudulent transactions or chargebacks related to your Account

Misrepresentations:

  • Any false, inaccurate, or misleading information you provide
  • Misrepresentation of your credentials, qualifications, or expertise
  • Misrepresentation of your Content or services

12.2 Indemnification Process

Notice: Skillstore will endeavor to provide you with prompt written notice of any claim subject to indemnification, but failure to provide notice will not relieve you of your indemnification obligations except to the extent you are materially prejudiced by the lack of notice.

Control: You will have the right to control the defense and settlement of any claim subject to indemnification, provided that:

  • You may not settle any claim without Skillstore's prior written consent if the settlement requires Skillstore to admit liability, make payments, or take (or refrain from taking) any action
  • Skillstore may participate in the defense with counsel of its choice at its own expense
  • You must use legal counsel reasonably acceptable to Skillstore

Cooperation: Skillstore will reasonably cooperate with you in the defense and settlement of any claim at your expense.

Skillstore's Rights: If you fail to defend a claim subject to indemnification, Skillstore may assume the defense at your expense.

12.3 Survival

Your indemnification obligations survive termination of these Terms and your Account.


13. DISPUTE RESOLUTION

13.1 Governing Law

These Terms and any disputes arising out of or related to these Terms or the Platform shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

13.2 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy informally by contacting us at [email protected] with a detailed description of your dispute.

We will attempt to resolve your dispute informally by contacting you via email. Both parties agree to negotiate in good faith to resolve the dispute.

30-Day Period: If the dispute is not resolved within 30 days of your initial notice to us, either party may proceed with formal dispute resolution as described below.

13.3 Jurisdiction

Subject to Section 13.4, any legal action or proceeding arising out of or related to these Terms or the Platform shall be brought exclusively in the courts of England and Wales.

You irrevocably consent to the exclusive jurisdiction and venue of the courts of England and Wales for all such disputes.

13.4 Consumer Rights Exception

For consumers in the UK, EU, or other jurisdictions with mandatory consumer protection laws:

Nothing in Section 13.3 affects your rights to bring proceedings in the courts of your country of residence if you are a consumer with non-waivable rights under applicable consumer protection laws.

This exception ensures compliance with:

  • UK Consumer Rights Act 2015
  • EU Consumer Rights Directive
  • Brussels Regulation (for EU/EEA consumers)
  • Other mandatory consumer protection laws

13.5 No Class Actions

To the extent permitted by law, you agree that:

  • Disputes will be resolved on an individual basis only
  • You waive any right to bring claims as a plaintiff or class member in any class action, consolidated action, or representative proceeding
  • You waive any right to participate in class-wide arbitration or litigation

If this class action waiver is found unenforceable for any reason, the dispute resolution provisions of this Section 13 shall be void in their entirety.

13.6 No Mandatory Arbitration

Unlike many US-based platforms, Skillstore does not require mandatory arbitration. You and Skillstore retain the right to bring disputes in court subject to the jurisdiction provisions above.

Either party may seek injunctive or equitable relief in court to prevent or enjoin infringement or misappropriation of intellectual property rights.

13.7 Time Limitation

You agree that any claim or cause of action arising out of or related to these Terms or the Platform must be filed within one (1) year after the claim or cause of action arose. After that time, such claim or cause of action is permanently barred.

This time limitation does not apply where prohibited by law.


14. MODIFICATIONS AND UPDATES

14.1 Right to Modify Terms

Skillstore reserves the right to modify, amend, or update these Terms at any time. We may make changes:

  • To reflect changes in law or regulatory requirements
  • To reflect changes to the Platform's features or functionality
  • To address new services or offerings
  • To improve clarity or address ambiguities
  • For security, fraud prevention, or abuse prevention reasons

14.2 Notice of Material Changes

For material changes to these Terms, we will provide at least 30 days' advance notice by:

  • Sending an email to your registered email address, and/or
  • Posting a prominent notice on the Platform, and/or
  • Displaying a notice when you log in to your Account

Material changes include:

  • Changes to pricing or fees
  • Changes to payment terms
  • Significant changes to liability limitations or warranties
  • Material changes to user rights or obligations
  • Changes to dispute resolution provisions

14.3 Immediate Changes

Changes may take effect immediately without advance notice when required for:

  • Legal or regulatory compliance
  • Security patches or urgent security measures
  • Preventing fraud or abuse
  • Addressing platform stability or performance issues

14.4 Non-Material Changes

Minor, non-material changes (such as clarifications, corrections, formatting improvements, or updates that do not affect your rights) may be made without advance notice. The current version of the Terms will always be available at https://skill.store/tos.

14.5 Acceptance of Changes

By continuing to access or use the Platform after the effective date of any changes, you agree to be bound by the modified Terms.

If you do not agree to the modified Terms, you must stop using the Platform. Your only remedy for disagreement with modified Terms is to terminate your Account.

14.6 No Obligation to Accept

You are not obligated to accept modified Terms. If you do not agree with changes:

  • You may terminate your Account before the effective date of the changes
  • You will not be charged for any billing cycles after termination
  • You will retain access through the end of your current billing cycle (if applicable)

14.7 Review Responsibility

It is your responsibility to review the Terms periodically for changes. We recommend checking the "Last Updated" date at the top of this document regularly.


15. SERVICE CHANGES AND TERMINATION

15.1 Right to Modify Platform

Skillstore reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time, including:

  • Features, functionality, or services
  • User interface or design
  • Technical requirements or specifications
  • Integrations with third-party services
  • Content or materials available on the Platform

We will make reasonable efforts to notify you of significant changes that materially affect your use of the Platform, but we are not obligated to provide notice and will not be liable for any modifications.

15.2 Termination by Skillstore - For Cause

We may suspend or terminate your Account and access to the Platform if:

Violations of Terms:

  • You breach any provision of these Terms
  • You violate these Terms or other policies
  • You engage in fraudulent, abusive, or illegal activity
  • You receive three (3) copyright strikes (Section 5.7)

Risk or Harm:

  • Your use of the Platform poses a security risk
  • Your actions harm or could harm other Users, Skillstore, or third parties
  • You engage in activity that could expose Skillstore to legal liability

Inactivity:

  • Your Account has been inactive for 12 consecutive months (for free Accounts) as described in Section 3.6

Legal Requirements:

  • We are required to terminate your access by law or legal process
  • We receive a valid subpoena, court order, or government request

Notice and Appeal: Where reasonably possible, we will provide notice of termination and the reasons for it. You may appeal a termination decision by contacting [email protected] within 30 days. We will review appeals in good faith but our decision is final.

Immediate Termination: We may terminate your Account immediately without notice in cases of:

  • Severe violations (illegal activity, egregious abuse)
  • Threats to platform security or stability
  • Legal emergencies or court orders
  • Fraud or financial harm to Skillstore or other Users

15.3 Termination by You

You may terminate your Account at any time by:

  • Using the account deletion function in your account settings, or
  • Contacting [email protected] with a termination request

Effect of Termination:

  • For subscriptions: Your subscription continues until the end of the current billing cycle, then terminates
  • Your access to the Platform will cease at the end of the termination period
  • No refunds for partial billing periods (except as provided in Section 7.5)

15.4 Effect of Termination on Content

Upon termination of your Account (whether by you or by Skillstore):

Your User Content:

  • Your free Content will be deleted from the Platform
  • Content purchased by Skill Builders before termination remains accessible to those purchasers who paid for lifetime access (Section 5.4)
  • You may not have the opportunity to retrieve Content after termination, so ensure you have backups

Skillstore Content:

  • Your license to use the Platform and Skillstore Content terminates immediately
  • You must cease all use of Skillstore trademarks, logos, and branded materials

15.5 Effect of Termination on Payments

For Creators: Upon termination, payment terms in Section 7.6 apply:

  • Earned revenue will be paid out on the next payment cycle
  • Pending transactions will be paid once cleared
  • You remain responsible for chargebacks, disputes, and negative balances
  • Recent purchase refund obligations continue (60-day period)

For Skill Builders:

  • No refunds for Content you have already accessed or downloaded
  • No refunds for partial subscription periods

15.6 Survival of Terms

The following provisions survive termination of these Terms or your Account:

  • Section 5 (Content & Intellectual Property) - to the extent of surviving licenses
  • Section 7.6 (Creator Payouts) - payment obligations
  • Section 8 (Privacy & Data Protection) - data handling obligations
  • Section 9 (Educational Content Disclaimers)
  • Section 10 (Service Disclaimers & Warranties)
  • Section 11 (Limitation of Liability)
  • Section 12 (Indemnification)
  • Section 13 (Dispute Resolution)
  • Section 16 (General Provisions)
  • Any other provisions that by their nature should survive

15.7 No Liability for Termination

To the fullest extent permitted by law, Skillstore shall not be liable to you or any third party for:

  • Termination or suspension of your Account
  • Deletion or loss of your User Content upon termination
  • Loss of access to the Platform or services
  • Any consequences arising from termination

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with our Privacy & Cookie Notice, Copyright ("DMCA") Policy, Partner Program Agreement, Accessibility Policy, Data Processing Agreement, and any other policies or agreements referenced herein, constitute the entire agreement between you and Skillstore regarding your use of the Platform.

These Terms supersede all prior or contemporaneous agreements, communications, and proposals (whether oral, written, or electronic) between you and Skillstore regarding the subject matter herein.

16.2 Severability

Skillstore's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

No waiver of any breach or default under these Terms shall be deemed a waiver of any subsequent breach or default.

Any waiver must be in writing and signed by an authorized representative of Skillstore to be effective.

16.4 Assignment

Skillstore's Rights: Skillstore may assign, transfer, or delegate these Terms or any rights or obligations hereunder without your consent, including:

  • In connection with a merger, acquisition, or sale of assets
  • To a parent company, subsidiary, or affiliate
  • To any successor entity or acquirer

Your Restrictions: You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without Skillstore's prior written consent. Any attempted assignment in violation of this provision is void.

16.5 Relationship of Parties

You and Skillstore are independent contractors. These Terms do not create:

  • A partnership, joint venture, or agency relationship
  • An employment relationship
  • A franchise or distribution relationship

Neither party has the authority to bind the other or incur obligations on behalf of the other.

Creator Independence: Creators are not employees, contractors, or agents of Skillstore. Creators operate independently and are solely responsible for their business operations, tax obligations, and relationships with their Skill Builders.

16.6 No Third-Party Beneficiaries

These Terms are for the sole benefit of you and Skillstore. No third party has any right to enforce or rely upon any provision of these Terms, except as expressly stated herein (e.g., Skillstore's indemnified parties in Section 12).

To You: Skillstore may provide notices to you by:

  • Posting on the Platform
  • In-app notifications
  • Other reasonable means

Notices sent by email are deemed received within 24 hours of sending if sent to your registered email address.

16.8 Force Majeure

Skillstore shall not be liable for any delay or failure to perform any obligation under these Terms where such delay or failure results from events beyond our reasonable control, including but not limited to:

  • Natural disasters (earthquakes, floods, storms, etc.)
  • Pandemics or public health emergencies
  • War, terrorism, civil unrest, or government actions
  • Internet or telecommunications failures
  • Power outages or infrastructure failures
  • Cyber attacks or security incidents

During a force majeure event, Skillstore's obligations are suspended for the duration of the event. We will use reasonable efforts to notify you and resume performance as soon as practicable.

17.1 Beta Features and Testing

From time to time, Skillstore may offer access to beta, experimental, or pre-release features ("Beta Features") to select Users.

Beta Features:

  • Are provided "as is" without warranties of any kind
  • May contain bugs, errors, or defects
  • May not function as intended or described
  • May be modified, discontinued, or never released publicly
  • Should not be relied upon for production or critical purposes
  • May be subject to additional terms or limitations

Participation: By participating in beta testing:

  • You agree to provide feedback about Beta Features
  • You agree to keep Beta Features confidential until public release
  • You understand that Beta Features may change significantly before release
  • You accept the risks associated with using pre-release functionality

17.2 User Feedback and Suggestions

If you provide feedback, suggestions, ideas, or other input about the Platform ("Feedback"), you grant Skillstore a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, create derivative works from, distribute, and otherwise exploit your Feedback for any purpose without compensation or attribution to you.

You represent and warrant that you have all rights necessary to grant this license and that your Feedback does not infringe any third-party rights.

17.3 Export Controls

You agree to comply with all applicable export control and trade sanctions laws, including those of the United Kingdom, European Union, and United States.

You represent and warrant that:

  • You are not located in or a resident of any country subject to UK, EU, or US trade embargoes or sanctions
  • You are not listed on any government restricted party list
  • You will not use the Platform in violation of any export control or sanctions laws

17.4 Community Reporting

Users may report Content or conduct that violates these Terms through our reporting system.

Reporting Process:

  • Provide details about the reported Content or conduct
  • Include relevant evidence or context

  • We will review reported Content and take appropriate action
  • We may temporarily suspend Content or Accounts pending investigation

Multiple Reports: If we receive multiple reports about the same Content or User, we may take expedited action, including automatic temporary suspension pending review.
